Jeff Koh is a mergers and acquisitions partner who advises founders, private companies, and investors on strategic transactions.
He regularly leads competitive sale processes, strategic acquisitions, and venture financings.
More than 30 domestic and international companies rely on Jeff as their outside general counsel. He works with venture-backed and growth companies from formation and early-stage financings through liquidity events and exits, advising on corporate governance, strategic planning, and transaction readiness as they grow and scale.
Jeff also advises companies and boards on the recruitment, hiring, compensation, and retention of key executives, including the structuring of equity grants and other incentive compensation, and represents founders and senior executives in negotiating employment agreements, restrictive covenants, bonus, change-in-control, and severance arrangements.
Jeff serves as primary outside counsel to two venture capital funds and has extensive experience representing private equity sponsors, venture capital funds, and strategic investors in acquisitions, minority investments, and leveraged buyouts. He is also an active angel investor and a limited partner in several venture capital funds.
Jeff has represented more than 50 searchers and their search fund holding and operating companies across all aspects of entrepreneurship-through-acquisition, including search fund formation, investor and searcher economics, acquisitions, add-on transactions, and exits.
Prior to joining the firm, Jeff served as bar president and clerked at the Delaware Court of Chancery. He practiced for more than a decade at leading international law firms, working in the private equity practice at Ropes & Gray, the M&A practice at Sidley Austin, and the search fund practice at Goodwin Procter.
Jeff graduated from Dartmouth College and the University of Michigan Law School, where he served on the Michigan Law Review, was a national finalist in the Philip C. Jessup International Law Moot Court Competition, and co-founded the Michigan Journal of Private Equity and Venture Capital.
