Our Fund Formation practice includes
structuring U.S. and off-shore private equity, venture capital and
hedge funds and providing advice on U.S. securities regulation,
broker-dealer, and investment company and investment advisor issues.
Our attorneys are sensitive to, and experienced in dealing with,
problems that can arise in the operation of an investment fund;
this experience assists in advising on the structure of a new fund
and the negotiation and preparation of the principal fund agreements.
Our Fund Formation attorneys work closely with our Public and Private
Financing practice and tax counsel to structure funds and their
management companies in ways that are most efficient from a tax
and operational point of view and that comply with the various regulations affecting private equity, venture capital and
hedge funds.
